User Agreement (Terms of Service)

Welcome to Melororium. This User Agreement ("Agreement" or "Terms") constitutes a legally binding contract between you (either an individual user or a single business entity, referred to as "User", "you", or "your") and Melonos 135863 LLC ("Company", "we", "us", or "our"), the legal owner and operator of the Melororium software platform, website accessible at melororium.com, and all associated services (collectively, the "Platform").

By registering an account, purchasing a Lifetime License, or utilizing the Platform in any manner, you explicitly acknowledge that you have read, understood, and agree to be bound by the terms of this Agreement. If you are entering into this Agreement on behalf of a company or other legal entity, you represent that you have the legal authority to bind such entity to these Terms.

1. The Platform & Modular Structure

Melororium is provided as a modular, all-in-one productivity and business operations workspace. The Platform structure includes, but is not limited to, the following system modules:

• Task Management Module: Visual Kanban workflows, timelines, and recurring task architecture.
• Time Tracking & Performance Module: Visual employee logs, active counters, and performance analytics.
• Smart Budgeting Module: Linking task expenses, cash flow management, and project invoicing.
• Etsy Business Hub Module: Multistore marketplace sync, operational expense matching, and listing SEO tools.
• SMM & AI Content Assistant Module: Social media post scheduling and localized artificial intelligence copywriting capabilities.

The Company reserves the right to modify, optimize, update, or shift individual features within these modules to enhance performance, ensure security compliance, or adapt to technical requirements of third-party APIs (such as Etsy, Slack, or Stripe).

2. Account Registration & Security

To access the Platform, users must create an account providing an accurate, active email address and personal credentials. You are entirely responsible for maintaining the strict confidentiality of your account credentials. You agree to immediately notify the Company at info@melororium.com regarding any unauthorized use or security breach of your account space.

3. Lifetime Launch Offer & License Terms

During the Company's exclusive MVP launch phase, licenses are granted on a Lifetime Deal ("LTD") structured model. A Lifetime Deal constitutes a one-time upfront payment granting permanent access to the core functional architecture of the specific tier purchased, completely eliminating monthly subscription fees.

3.1. Plan Tiers & Seat Allocations

• Single Module Plan: Grants access for exactly one (1) user seat to one (1) selected core module. Excludes future premium modules.
• Essential Bundle Plan: Grants access for exactly one (1) user seat to up to three (3) selected core modules. Excludes future premium modules.
• Pro All-Access Plan: Grants access for exactly one (1) user seat to all five (5) core modules, including exclusive loyalty discounts on future modules released by the Platform.
• Team Tiers (Starter, Growth, Company All-Access): Subject to a strict operational ceiling of up to seventeen (17) integrated Team Members (User Seats) per account workspace. Team accounts cannot exceed this 17-seat operational threshold under the standard launch tier.

3.2. Unlimited Client Access Feature

Notwithstanding the user seat ceilings specified in Section 3.1, all active Tiers include unlimited, zero-cost access for external "Clients" or "Guests" via dedicated secure portal spaces. Client accounts are strictly limited to viewing shared progress timelines, downloading specific deliverables, and submitting project approvals. Client portals cannot log internal operational metrics or utilize core standalone module workflows.

4. Financial Terms, Upgrades & Refund Policy

All financial transactions are securely processed through our certified third-party payment infrastructure (Stripe) or authorized promotional channels (AppSumo Marketplace).

4.1. The 60-Day Unconditional Guarantee

Your one-time investment is fully protected by our unconditional 60-day money-back guarantee. If you are unsatisfied with the Platform's performance or alignment with your business architecture, you may request a full refund within exactly sixty (60) calendar days from your initial purchase date.

• Refunds for licenses acquired via AppSumo must be initiated directly through the AppSumo user dashboard.
• Refunds for direct website sales must be requested via email at info@melororium.com.

4.2. Tier Upgrades

Users maintain the permanent right to upgrade between active launch tiers (e.g., transitioning from a Single Module to Pro All-Access) by paying the calculated financial difference between the respective tiers directly inside account workspace settings.

5. Acceptable Use & Operational Ceilings

You agree to utilize the Platform strictly in compliance with applicable local, state, national, and international laws. You are expressly prohibited from:

• Engaging in reverse-engineering, decompiling, or attempting to extract the underlying source code of Melororium.
• Utilizing the Platform to distribute malicious software, automated spam campaigns, or hosting unlawful content.
• Bypassing or attempting to manipulate the established multi-seat thresholds or API usage allotments.

6. Limitation of Liability & Warranty

The Platform is provided on an "AS IS" and "AS AVAILABLE" basis during the current MVP launch phase. To the maximum extent permitted by applicable law, Melonos 135863 LLC disclaims all warranties, express or implied. In no event shall the Company be held liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business operational continuity arising out of your utilization of the Platform.

7. Governing Law & Dispute Resolution

This Agreement and all interactions with the Platform shall be exclusively governed by and construed in accordance with the Laws of the State of Florida, United States of America, without giving effect to any principles of conflicts of law. Any legal dispute, claim, or controversy arising out of this Agreement shall be subject to the exclusive jurisdiction of the state or federal courts located in or serving Broward County, Florida, USA.
